Aevolve ("we," "us," "our") operates the website aevolve.ai and provides AI implementation services. By engaging our services or using our website, you ("Client," "you," "your") agree to these Terms and Conditions. If you do not agree, do not use our services.
1. Services
Aevolve is an AI implementation agency. We build Claude Code workspaces, custom AI agents, and automation workflows for businesses. Our services include:
AI Audits: Assessment of your current operations, tools, and workflows to identify AI implementation opportunities. Starting at $500.
Implementation Projects: Custom AI agent development, workflow automation (n8n, Make.com), Claude Code workspace setup, and integration work. Projects range from $1,500 to $10,000+.
Monthly Retainers: Ongoing AI support, maintenance, optimization, and new feature development. Retainers range from $300 to $1,000 per month.
Consulting and Training: Strategic guidance on AI adoption and team training.
Specific deliverables, timelines, and pricing for each engagement will be outlined in a separate proposal or statement of work ("SOW") agreed upon by both parties before work begins.
2. Engagement Process
2.1. All projects begin with a discovery call or AI audit to understand your needs.
2.2. We will provide a written proposal or SOW detailing the scope, deliverables, timeline, and cost.
2.3. Work begins only after both parties agree to the proposal and payment terms are met.
2.4. Changes to scope after agreement require written approval from both parties and may affect pricing and timelines.
3. Payment Terms
3.1. Deposits: A 50% deposit is required before work begins on any project, unless otherwise specified in the SOW.
3.2. Final Payment: The remaining balance is due upon project completion and delivery of final deliverables.
3.3. Monthly Retainers: Retainer fees are billed at the start of each month and are due within 7 days of invoice.
3.4. Payment Methods: We accept bank transfers, UPI (for India-based clients), and international wire transfers.
3.5. Late Payments: Invoices unpaid for more than 14 days may result in work being paused. We reserve the right to charge a late fee of 1.5% per month on overdue amounts.
3.6. Refunds: Deposits are non-refundable once work has begun. If we are unable to deliver the agreed-upon services, we will issue a prorated refund for undelivered work.
3.7. Taxes: All fees are exclusive of applicable taxes. You are responsible for any taxes imposed by your jurisdiction.
4. Intellectual Property
4.1. Client Ownership: Upon full payment, you own all custom deliverables created specifically for your project.
4.2. Aevolve Retains: We retain ownership of our pre-existing tools, frameworks, templates, and general-purpose code. We grant you a non-exclusive, perpetual license to use any such components included in your deliverables.
4.3. Portfolio Rights: We reserve the right to reference the general nature of work performed in our portfolio, without disclosing confidential details. You may opt out in writing.
4.4. Third-Party Tools: Deliverables may rely on third-party platforms (n8n, Make.com, Anthropic Claude API, etc.). Your use of those platforms is governed by their respective terms.
5. Confidentiality
5.1. Both parties agree to keep confidential any proprietary information shared during the engagement.
5.2. Confidentiality obligations survive termination for two (2) years.
6. No Guarantee of Results
6.1. While we apply expert knowledge and best practices, we do not guarantee specific outcomes, revenue increases, or performance metrics.
6.2. We guarantee professional, high-quality delivery of the agreed-upon scope.
7. Client Responsibilities
7.1. You agree to provide timely access to necessary information, systems, and team members.
7.2. Delays caused by your failure to provide required access may extend project timelines without entitlement to refund.
8. Acceptable Use
8.1. You agree not to use our services for any illegal, unethical, or harmful purposes including spam, fraud, or surveillance without consent.
9. Limitation of Liability
9.1. Aevolve's total liability is limited to the total fees paid for the specific engagement giving rise to the claim.
9.2. We are not liable for indirect, incidental, special, consequential, or punitive damages.
10. Termination
10.1. By Client: You may terminate with written notice. Fees for completed work are non-refundable.
10.2. By Aevolve: We may terminate if payment is overdue by 14+ days or you breach these terms.
10.3. Retainers: Either party may cancel with 30 days' written notice.
11. Dispute Resolution
11.1. Both parties agree to attempt good-faith negotiation first.
11.2. If negotiation fails, disputes will be resolved through binding arbitration under Indian law.
11.3. For international clients, we are open to mutually acceptable arbitration venues.
12. Modifications
We may update these Terms at any time. Changes will be posted on our website.
